DAYTON VIEW TRIANGLE FEDERATION
BY-LAWS
ARTICLE I, Name
The name of this organization shall be the Dayton View Triangle Federation, Incorporated, a non-profit corporation registered in the State of Ohio, 26 March 1976.
ARTICLE II, Boundaries
The organization shall have as its boundaries the area bounded by Salem Avenue on the North, Cornell Drive on the South, and Philadelphia Drive on the West and the vicinity included therein of the City of Dayton, Montgomery County, Ohio.
ARTICLE III, Purpose
The purpose for which this organization is founded is to promote the general betterment and welfare of the neighborhood as set forth in the Articles of Incorporation and implemented by the Dayton View Triangle Federation Board of Trustees and its Executive Committee of officers.
ARTICLE IV, Membership
Membership in the organization shall be open to any homeowner, tenant, business, or property owner within the boundaries of said organization defined in Article II, provided that member has no unpaid dues. Corporate and Institutional members need not live in the area.
ARTICLE V, Board of Trustees
Section 1, Trustees.
There shall be two Trustees from each of the eleven districts or geographical areas as described by the attached neighborhood map. The District Trustees shall determine the needs and desires of the residents in their respective districts and bring forth these concerns as representatives at the Board of Trustees meetings. Trustees shall serve one-year terms, be dues paying members of the Dayton View Triangle Federation, and for Districts 1 through 10 should live within the boundary of the district that they represent. In cases where two trustees are not elected or do not volunteer to represent a district and therefore, a district has no representative/s to attend the monthly Executive Board meeting or carry out the other responsibilities of a Trustee then temporary Trustees may be appointed by the Board. Such appointments shall be undertaken only after the vacancies have been advertised in the first newsletter after the autumn election of Trustees. Trustees shall actively participate in the organization by volunteering for committee work and assisting with neighborhood events.
The District 11 representatives shall be selected at the discretion of the community of the United Theological Seminary (UTS).

Section 2, Officers
The President, Vice-President, Recording Secretary, Treasurer, Membership Secretary and Parliamentarian shall be dues paying members of the Dayton View Triangle Federation and live within the boundaries of said organization as described in Article II.
The officers shall be elected for one-year terms beginning the day of their election and they shall be a part of the Executive Committee.
The officers determine the agenda for each meeting, and the President or Acting President shall finalize, publish, and adhere to the agenda schedule for each meeting.
President - The duties of the President of this organization include but are not limited to: calling and presiding at Trustee meetings, general meeting and special meetings. The President has the duties of organizing, delegating responsibility, and providing leadership in all the Dayton View Triangle Federation projects. The President serves as spokesperson of the organization. She/he shall serve as chairperson of the executive committee and as ex-officio member of all other committees.
The President shall serve as the primary link between said organization and the City of Dayton, that is between the City Manager's office and other City Departments. This latter is with the understanding that most official business is conducted through Priority Board Site Office staff.
The President shall be the Community Council Representative to the Northwest Priority Board, or appoint a designee to said Board.
Vice-President - The Vice-President shall assume the role of Acting President in the absence of the President. The Vice-President shall have the leadership role as Chairperson of at least one long term committee and shall coordinate and monitor all committees as necessary to assure continuity and report to the Board of Trustees as necessary.
Recording Secretary - The Recording Secretary shall keep, publish and distribute to all Board
members the minutes of all meetings. She/he shall handle all the correspondence of the organization, and notify all appropriate members of meetings. The Recording Secretary shall be Acting President when the President and Vice-President are both absent.
The Secretary shall keep a copy of the by-laws with amendments properly entered and the incorporation records.
Treasurer - The Treasurer shall keep accurate bank and ledger accounting records, collect and deposit membership dues, project future expenditures, and present a finance report at each meeting. The Treasurer presides at meetings in the absence of the other three officers. The Treasurer shall be chairperson of the Finance Committee.

Membership Secretary - The Membership Secretary shall keep an accurate record of all the
members of the organization and the status of who has paid dues. She/he shall promote membership dues at the general meetings and hand out membership cards. She/he shall conduct the annual membership drive. The Membership Secretary will be a member of the Nominating Committee.
Parliamentarian - The Parliamentarian shall monitor the organization to ensure that the rules on points of order are properly followed. Robert's Rules of Order shall be used as a guide in conjunction with said by-laws as stated therein. The Parliamentarian shall be responsible for the By-Laws, thereby interpreting the By-Laws.
She/he shall bring proposed changes to the By-Laws before the Board of Trustees for approval. The Parliamentarian shall be the Chairperson of the By-Laws committee and of the Nominating Committee. As chairperson of the Nominating Committee she/he shall preside over the elections of Trustees and Officers. She/he shall notify the Board of Trustees when vacancies exist on the Board and see to it that such vacancies are filled.
These six officers shall henceforth be known as the Executive Committee of the Dayton View Triangle Federation. Officers shall serve for one-year terms, be dues paying members and live within the boundaries of said organization as described in Article II. ARTICLE VI, Elections
Section 1. Time of elections.
Officers shall be elected annually in the fourth quarter at a meeting of the Board of Trustees. Their term of office shall begin immediately.
Trustees for Districts 1 through 10 shall be elected every year in the fourth quarter at the General meeting following the election of Officers. Trustee(s) from District 11 shall be selected at the discretion of the UTS community annually, coincident with election of other Trustees. All Trustees' terms of office shall begin immediately.
Section 2. Method of election.
Officers - Members, as described in Article IV, who are asked or wish to volunteer to serve as an
officer must approach the Nominating Committee. The Nominating Committee presents candidates to the Board of Trustees for voting. A quorum of the Board of Trustees shall vote on candidates and the candidate who gets the most votes is selected as that officer.
In the event that there is a tie vote, balloting will continue until there is a majority vote or one candidate declines. If there are more than two candidates when one declines, then a new vote must then be taken. page 3 of 5.
Voting for officers shall be by secret ballot conducted by the Recording Secretary or Chairperson of the Nominating Committee. If only one candidate runs for an office, then voting shall be conducted by asking for ayes and nays.
Trustees - Members, as described in Article IV who are asked or wish to volunteer to serve as a Trustee for Districts 1 through 10 may verbally so declare this desire to all members present from their district. Should there be more than two candidates for any one district, the members present from said district shall elect their two Trustees by use of paper ballot. If there are not enough candidates for each district to determine Trustees from each district, then the Nominating Committee shall thereafter fill any vacancies. The District 11 Trustees shall be selected as described in Article V.
Section 3. Removal from the Board of Trustees
A Trustee, or officer can be removed from office if it can fairly be decided that his/her activities or conduct are detrimental to the smooth functioning and positive image of the organization. A two-thirds majority vote from a quorum of the Board of Trustees is necessary to remove from office any trustee or officer.
Section 4. Vacancies
Vacancies that arise because of moving from the area or nonparticipation of an elected Trustee or officer shall be filled on the initiative of the Nominating Committee that shall be active throughout the year.
ARTICLE VII, Meetings
General meetings shall be held once each quarter as necessary at a time and place to be determined by the Executive Committee.
Board of Trustees meetings shall be held once each month as necessary, at a time and place to be
determined by the Executive Committee.
Special, or emergency meetings, shall be held as needed, and shall be called by the President or by the Acting President in the absence of the President.
Meetings of committees sanctioned by the President and the Board of Trustees shall be held at a time and place to be determined by the Chairperson of the committee.
A quorum shall be a simple majority consisting of 50% of all members of the Board of Trustees plus one and shall include Trustees representing six districts AND three officers. Each member shall have one and only one vote regardless of his/her position. A simple majority (50% plus 1) of the quorum shall be required to pass items by vote, except when removing a Trustee or Officer or amending these By-Laws. Trustees or Officers may not appoint designators to vote for them at Board of Trustees meetings or send a vote in writing. They must be present to vote.

ARTCLE VIII, Committees
The President may appoint or sanction a committee as necessary to accomplish tasks. A member may recommend a committee or volunteer their services for committee work. This should be sanctioned by the President. Any member may be a Chairperson of any committee except those chaired as designated herein by officers. Should any voting member of the Board of Trustees challenge the decision of the President on recommended committees or existing committees, this will be subject to a nomination, seconding and a vote. The President may only override the Board of Trustees vote in the event he declares an emergency situation.
All long term committees formed must have objectives and goals stated in writing and recorded in the minutes. A Chairperson must be designated as stated herein or he/she may volunteer their services for the committee. The Chairperson should seek other committee members as necessary and other members may volunteer to serve on the committee.
At the discretion of the committee, officers other than the Chairperson may be designated.
Nominating Committee - This committee shall be established as a continuing part of this
organization unless dissolved by amendment of said by-laws. The purpose of this committee shall be to seek out and receive volunteers for new Trustees, officers, and committee members. The Nominating Committee shall establish by-laws in writing subject to the approval of the Board of Trustees with the goals to obtain volunteers for new elections to the Board of Trustees and committees and to fill vacancies from members who no longer participate. This committee shall ensure of the continuance of this organization.
Finance Committee - The Treasurer shall chair the finance committee. The finance Committee
may recommend changes to finances in the organization subject to a vote of the Board of Trustees. The purpose of this committee is to properly handle the organizational finances, interface with other
organizations and plan methods to increase the amount of finances of the organization. All checks written must be approved or signed by Treasurer.
ARTICLE IX. Amendments
A proposal to amend these by-laws may be brought to any meeting by any member. It is suggest that the member bring copies of the proposed change(s) to the Board of Trustees meeting. The proposed change(s) shall be negotiated and altered by moving, seconding and passing a vote from a quorum by simple majority. The Recording Secretary shall then read out loud the final proposed amendment. A two-thirds majority vote of a quorum shall be required for passage.
These by-laws of the Dayton View Triangle Federation, Inc. were last approved by the Board of Trustees 25 February 2003 and 25 March 2003. (K. Rizer, parliamentarian) They are correct as of March 2003
